The company plans to appoint three independent directors and increase its 2026 share repurchase commitment following discussions with Elliott Investment Management.

Align Technology Inc has announced several corporate initiatives, including the addition of three independent directors to its board and an increased share repurchase commitment. The actions follow discussions with Elliott Investment Management LP.

Board Appointments and Operating Review

The search for the new directors will focus on individuals with experience in healthcare technology, medical devices, global operations, and scaling businesses.

Align has also engaged a global consulting firm to advise on a strategic and operating model review. The review focuses on strengthening commercial execution, enhancing organizational effectiveness, optimizing resources, and improving scalability to support sustainable revenue and earnings growth.

In addition to the board changes, Align increased its 2026 share repurchase commitment. The company now intends to repurchase between $400 million and $500 million of its common stock during 2026.

Discussions With Activist Investor

The announced initiatives follow constructive dialogue with Elliott Investment Management. According to Reuters, Elliott is a prominent activist investor that has recently increased its focus on healthcare companies, with notable targets including Dexcom, Medtronic and Charles River Laboratories.

“We are one of Align’s largest investors because we believe the company is a market leader with significant long-term growth opportunities,” says Marc Steinberg, partner at Elliott, in a release. “We believe the board enhancements and other actions announced today are important steps toward delivering on this opportunity.”

Align management and the board maintain that the company will continue to focus on expanding the global adoption of its digital orthodontic and restorative solutions.

“We regularly evaluate the skills, experiences and perspectives needed to support Align’s long-term strategy and future growth opportunities,” says Kevin Conroy, chairman of the board, in a release. “We appreciate the constructive dialogue with Elliott as we continue to advance Align’s strategic priorities.”
